Paramount CEO David Ellison said in a New York Times opinion piece on Tuesday that political opposition, rather than market share concerns, drives the legal battle surrounding his proposed $110 billion acquisition of Warner Bros. Discovery.

His commentary coincides with a federal judge establishing a March 2027 trial date for antitrust challenges against the megamerger, prompting Paramount Skydance and Warner Bros. to push their target closing date to June 2027.

Opponents of the deal, including a coalition of 12 Democratic-led state attorneys general, contend that the combined entity would control roughly 27 per cent of both basic cable channel licensing and wide-release theatrical film distribution.

The controversy centres heavily on CNN, which would fall under Ellison’s control alongside CBS News—a network Skydance acquired in 2025 before appointing conservative commentator Bari Weiss to lead its news division, triggering staff resignations over concerns of editorial independence.

Ellison rejected claims that his political ties or his family’s close relationship with President Donald Trump would influence newsroom operations, writing that he aims to base reporting strictly on facts and truth.

While the Trump administration approved the blockbuster deal in June without requesting structural modifications, Ellison faces substantial financial stakes if the merger falls through, including billions of dollars in potential termination fees.
